HDM Business Solutions — Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the website www.hdmbusinesssolutions.ca (the "Site"), and any products, services, subscriptions, bookings, or digital content offered by HDM Business Solutions ("HDM," "we," "us," or "our"), a sole proprietorship operating in Whitehorse, Yukon, Canada, including under the following sub-brands:

  • Aurora Answering AI — AI-powered virtual receptionist and call-handling service
  • AI Training Yukon — workshops, courses, and training programs
  • HDM AI Systems — done-for-you AI integration, automation, and custom agent development
  • Digital Library — downloadable templates, guides, and digital tools

Collectively, these are referred to as the "Services." By accessing the Site, purchasing a product, booking a service, or otherwise using the Services, you ("Client," "Customer," or "you") agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your province or territory of residence, and have the legal capacity to enter into a binding agreement, to purchase products or services from HDM. If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity.

3. Platforms Used to Deliver Our Services

You acknowledge and agree that HDM uses third-party platforms to operate its business, including but not limited to:

  • GrowthHub365 — for transactions, checkout, automation, course enrollment, booking, and product delivery
  • Lovable — as the front-end website and sales-page builder
  • Additional AI, automation, and telephony infrastructure described in Section 6 (Aurora Answering AI) and Section 9 (Third-Party Tools)

Your use of the Services may be subject to the separate terms of service and privacy policies of these third-party platforms, in addition to these Terms. HDM is not responsible for outages, errors, or data-handling practices of third-party platforms beyond its reasonable control.

4. Digital Products (Digital Library)

4.1 License Grant

Upon purchase, HDM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased digital product(s) for your own personal or internal business purposes. You may not resell, redistribute, publicly share, or claim authorship of any digital product, in whole or in part, without HDM's prior written consent.

4.2 All Sales Are Final

All digital product purchases are final. Due to the nature of digital goods, HDM does not offer refunds, returns, exchanges, or credits on any Digital Library product, bundle, or standalone tool, once the purchase is completed and access or download has been granted, regardless of whether the product has been downloaded, opened, or used. This applies to all digital products sold under any HDM sub-brand.

Exception: HDM may, at its sole discretion, issue a refund or replacement where a digital product is materially defective (e.g., a corrupted file that HDM is unable to remedy) and the issue is reported within a reasonable time. This exception does not create an ongoing obligation or entitlement to refunds in any other circumstance.

4.3 Delivery

Digital products are delivered electronically through GrowthHub365 following successful payment. It is your responsibility to ensure you have provided a valid email address and to check your inbox (including spam/junk folders) for access instructions.

5. Services (AI Training Yukon, HDM AI Systems, and Consulting)

5.1 Scope of Engagement

Services such as training workshops, business audits, done-for-you automation builds, custom AI agent development, and advisory sessions are provided on the basis of a specific scope, quote, proposal, or statement of work agreed to in advance with the Client. Any work outside that agreed scope may be subject to additional fees.

5.2 Bookings, Deposits, and Payment

Services may require a deposit or full payment prior to scheduling or commencement of work. Payment terms, invoicing schedules, and applicable taxes (including GST) will be set out in the applicable quote, invoice, or booking confirmation issued through GrowthHub365.

5.3 Cancellations and Rescheduling

The following default policy applies unless a signed proposal, contract, or statement of work states otherwise:

  • Training sessions and consulting appointments may be rescheduled with at least 48 hours' notice at no charge.
  • Cancellations made with less than 48 hours' notice, or missed appointments ("no-shows"), may be subject to a cancellation fee of up to the full session fee, at HDM's discretion.
  • Deposits paid toward custom builds, automation projects, or multi-session engagements are non-refundable once work has commenced, but may be credited toward a rescheduled engagement at HDM's discretion.

5.4 Client Responsibilities

Where a Service depends on Client-provided information, access credentials, content, or timely feedback (for example, in an automation build or AI agent configuration project), delays caused by the Client's failure to provide these in a timely manner may extend project timelines and will not be considered a breach by HDM.

5.5 No Guarantee of Results

While HDM applies professional expertise to all engagements, HDM does not guarantee specific business outcomes, revenue increases, lead volumes, or performance metrics resulting from training, consulting, or automation services, as these depend on factors outside HDM's control, including Client implementation and market conditions.

6. Aurora Answering AI (AI Virtual Receptionist Service)

6.1 Nature of the Service

Aurora Answering AI is an AI-powered virtual receptionist and call-handling service that uses conversational AI and voice technology to answer, route, and respond to calls, messages, and booking requests on behalf of Client businesses. Aurora Answering AI does not replace emergency services and must not be relied upon for emergency communications of any kind.

6.2 Call Recording and Consent

Calls handled through Aurora Answering AI may be recorded, transcribed, and/or processed by AI systems for the purposes of service delivery, quality assurance, and improvement of the Client's virtual receptionist configuration. By enabling or using Aurora Answering AI, the Client confirms it has, and will maintain, all consents, notices, and disclosures required under applicable law — including the federal Personal Information Protection and Electronic Documents Act (PIPEDA), and, where the Client's own callers or customers are located outside Canada, any additional consent or disclosure obligations that apply in that caller's jurisdiction — to lawfully record and process calls with its own customers and callers. HDM will provide reasonable configuration support (such as recommended call-recording disclosure scripts) but the Client remains responsible for ensuring its own compliance with call-recording and privacy laws in its operating jurisdiction(s).

6.3 AI Limitations and Accuracy

Aurora Answering AI relies on artificial intelligence and third-party voice/telephony technology. HDM does not guarantee uninterrupted service, perfect call comprehension, or error-free responses. The Client is responsible for reviewing call logs, transcripts, and bookings generated by Aurora Answering AI and for promptly reporting any issues.

6.4 International Callers and Purchasers

Where Aurora Answering AI or other HDM digital products are purchased or used by individuals or businesses located outside Canada, the Client and any international purchaser are responsible for ensuring their own compliance with the data protection and consumer laws of their local jurisdiction, in addition to these Terms.

7. Payment, Pricing, and Taxes

All prices are listed in Canadian dollars (CAD) unless otherwise stated, and are exclusive of applicable taxes (including GST) unless otherwise noted. HDM sets its own prices; payments are processed through GrowthHub365 (using Stripe as its underlying payment processor) and, for certain products or services, PayPal. The price displayed to you at checkout is the total amount you will be charged; HDM does not add separate payment-processing fees on top of listed prices. HDM reserves the right to change pricing at any time; changes will not affect orders or bookings already confirmed.

8. Intellectual Property

All content on the Site and within HDM's Services — including but not limited to training materials, digital products, templates, frameworks (such as the AI Opportunity Map methodology), branding, logos, and the "HDM Operating Layer" framework — is the property of HDM or its licensors and is protected by Canadian and international copyright and trademark law. Purchasing a product or service grants you a license to use the deliverable as set out in these Terms; it does not transfer ownership of HDM's underlying intellectual property.

9. Third-Party Tools and AI Systems

HDM's Services are built using, and may integrate with, third-party platforms such as Make.com, Voiceflow, Airtable, Base44, Supabase (Lovable's database provider), and Anthropic's Claude API, among others. HDM is not responsible for the availability, security, or performance of these third-party systems, and your use of Services that rely on them is also subject to those providers' own terms.

10. No Professional Advice

Training, consulting, and written materials provided by HDM are for general business and educational purposes only. They do not constitute legal, financial, tax, or accounting advice. You should consult a qualified professional before making decisions based on information or recommendations provided through HDM's Services.

11. Privacy

HDM's collection, use, and disclosure of personal information is described in our separate Privacy Policy, which forms part of these Terms by reference and reflects our obligations under PIPEDA. Please review the Privacy Policy before using the Services.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by applicable law.

13. Limitation of Liability

To the fullest extent permitted by law, HDM, its owner, and its contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services. HDM's total aggregate liability for any claim arising from these Terms or the Services will not exceed the amount paid by you to HDM for the specific product or service giving rise to the claim in the six (6) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless HDM and its owner from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

15. Termination

HDM may suspend or terminate your access to the Services at its discretion, including for breach of these Terms, non-payment, or misuse of the Services. Sections that by their nature should survive termination (including Sections 4.2, 8, 12, 13, and 14) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Yukon and the applicable federal laws of Canada, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Yukon, unless otherwise required by applicable consumer protection law.

17. Changes to These Terms

HDM may update these Terms from time to time. Material changes will be reflected by an updated "Effective Date" at the top of this page. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
